Operator Terms of Service

Agreement
Short version. These terms are for community operators who use Arcalotl to sell and manage community access. If you are a member checking out for a community plan, see the Subscriber Checkout Terms.
These Operator Terms of Service ("Terms") govern your use of Arcalotl's website, dashboard, bots, checkout tools, subscription automation, billing integrations, and related services (collectively, the "Service"). By creating an account, connecting a community, connecting Stripe, using the dashboard, or otherwise using the Service, you agree to these Terms.
"Operator," "you," and "your" mean the individual or organization that operates a community server or other community using Arcalotl. "Member" means a person who buys, donates to, subscribes to, or receives access to your community through a checkout or billing flow powered by Arcalotl.
The Service
Short version. Arcalotl provides software for checkout, access automation, billing state, and revenue recovery. You remain the provider of your community, plans, perks, and member relationship.
Arcalotl provides subscription management, payment orchestration via Stripe Connect, member access automation, revenue retention tools, and analytics for community platforms, starting with Discord. Other community platform integrations may be available as product support changes.

Accounts and authority
Short version. You must be able to bind the community or organization you operate, and you are responsible for the accounts you connect.
To use the Service, you must connect a supported community platform account and a Stripe account. You must be at least 18 years old, or the age of majority in your jurisdiction, and have legal authority to enter into these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization.
You are responsible for maintaining the security of your dashboard, community platform, and Stripe accounts. You are responsible for all activity under accounts, servers, and integrations you connect to Arcalotl.
Operator plans and member offers
Short version. You control what members buy. You must describe it truthfully, price it clearly, and fulfill what you offer.
You are responsible for every plan, tier, donation path, one-time purchase, perk, role, community benefit, renewal term, limitation, refund policy, and support promise you offer through the Service. You must provide accurate, complete, and lawful information to members before they pay.
You grant Arcalotl a limited license to host, display, transmit, and process your plan names, descriptions, feature lists, prices, support information, community metadata, and related content as needed to operate the Service.
You are responsible for compliance with laws that apply to your offers, including consumer protection, auto-renewal, trial, cancellation, refund, tax, sanctions, age restriction, content, and community access rules. You must not configure plans, checkout pages, retention flows, or member messages in a way that is misleading, unlawful, or inconsistent with your actual fulfillment.
Payments, fees, and Stripe Connect
Short version. Arcalotl uses Stripe Connect direct charges. Member payments go to your connected Stripe account. Arcalotl does not hold, escrow, or intermediate member funds.
Arcalotl is not the merchant of record for your member transactions and does not sell your memberships, donations, one-time purchases, or community access. Payments are processed by Stripe through your connected Stripe account. You are the provider responsible for the offer, fulfillment, refunds, disputes, taxes, and member support.
Arcalotl charges a transaction fee of 2% on successful payments processed through the Service. The fee is collected as a Stripe application fee. Stripe processing fees, payment method fees, currency conversion fees, dispute fees, tax products, and other Stripe charges are separate and are governed by your Stripe account terms and pricing.
Arcalotl fees apply to successful subscription payments, one-time purchases, donations, recovered payments, cancellation saves, and term upgrades processed through the Service. We may change Arcalotl fees with 30 days' notice, and fee changes will not apply retroactively to completed transactions.
Arcalotl fees are earned when a payment succeeds. A member refund, chargeback, dispute, reversal, cancellation, or access change does not automatically refund Arcalotl's application fee unless Arcalotl chooses to refund it, the Service expressly processes an application-fee refund, or applicable law requires otherwise.
Connected Stripe account activity
Short version. By connecting Stripe, you authorize Arcalotl to perform Stripe Connect activity needed to run the Service for your connected account.
You authorize Arcalotl to use Stripe Connect to create and update checkout sessions, customers, subscriptions, invoices, payment links, Billing Portal sessions, application fees, metadata, cancellations, refunds, access-related status, and other payment or billing records as needed to provide the Service or follow your configuration. Arcalotl may receive payment, dispute, refund, fee, balance-impacting, and connected-account status from Stripe.
You must keep your connected Stripe account active, accurate, and in good standing. Stripe may reject, hold, reserve, reverse, delay, suspend, or restrict payments, payouts, account access, or platform capabilities under Stripe's own terms. Arcalotl is not responsible for Stripe's account reviews, payment holds, payout timing, disputes, reversals, reserves, or enforcement actions.
If Stripe, a payment method provider, card network, bank, regulator, or other third party reserves, withholds, debits, assesses, reverses, or collects any amount from Arcalotl because of your transactions, account activity, refunds, disputes, chargebacks, negative balances, fraud, fines, penalties, taxes, violation of law, or violation of Stripe rules, you must promptly reimburse Arcalotl for those amounts and related costs.
Refunds, disputes, taxes, and support
Short version. You own the commercial relationship with members. Arcalotl may automate technical actions, but refund and support obligations remain yours.
You are responsible for your refund policy, refund decisions, chargebacks, disputes, tax obligations, consumer disclosures, subscription notices, recurring billing compliance, receipts, cancellation paths, and member support. Arcalotl may provide dashboard actions or automation that help you issue a refund, cancel access, revoke access after a dispute, or reconcile Stripe state. Those actions are performed as software functionality for your connected account.
If Stripe reports that a refund, dispute, payment failure, or account status affects a member's access, Arcalotl may update access according to your configuration and the Service's automation rules.
Retention and member communications
Short version. If you enable retention features, you authorize Arcalotl to send operational messages on your behalf.
Dunning, cancellation saves, term optimization, renewal reminders, and related features may send messages, direct members to checkout or Billing Portal, create temporary channels, or update access in your community. By enabling those features, you authorize Arcalotl to perform those actions for subscription management, access management, and revenue recovery.
You are responsible for using these features lawfully and for making sure member communications are accurate, non-deceptive, and consistent with your own policies and applicable platform rules.
Prohibited uses
Short version. Do not use Arcalotl to break the law, abuse members, evade platform rules, or run harmful activity.
You may not use the Service to:
- Sell or promote illegal goods, services, content, or access
- Violate Stripe, Discord, or other connected platform terms
- Use the Service for a business, content, transaction, or activity that Stripe prohibits or restricts
- Mislead members about price, renewal terms, refunds, or access
- Send spam, harassment, threats, or abusive communications
- Upload malware or attempt unauthorized access to any system
- Scrape, copy, or reverse engineer the Service
- Interfere with security, rate limits, or access controls
- Impersonate another person or organization
- Infringe intellectual property or privacy rights
- Resell the Service without written permission
- Use the Service to build or benchmark a competing product
Arcalotl may refuse, suspend, or disable checkout, automation, or account access if Stripe restricts your account, your dispute or refund activity creates risk, your Stripe information is incomplete or inaccurate, or Arcalotl reasonably believes continued processing may expose Arcalotl to loss, enforcement, or legal risk.
Data protection
Short version. We process operator, member, payment, and event data to run the Service. Some member data is processed on your behalf.
The Privacy Policy explains how Arcalotl collects, uses, and shares personal information. For member and subscriber personal data that Arcalotl processes on your behalf as a service provider or processor, the Data Processing Addendum applies unless you and Arcalotl have signed a separate written data processing agreement. Third-party services
Short version. Arcalotl depends on Stripe and connected community platforms. Their outages and rules can affect the Service.
The Service depends on third-party services including Stripe, supported community platform APIs, hosting providers, analytics providers, object storage, and observability providers. We are not responsible for third-party outages, API changes, account restrictions, payment holds, platform enforcement, or data processing performed by third parties under their own terms.
Service availability and changes
Short version. We work to keep Arcalotl available, but we do not promise uninterrupted service.
The Service is provided on a commercially reasonable efforts basis. We may modify, suspend, or discontinue features, integrations, beta features, roadmap items, or platform support. Where practical, we will provide reasonable notice before discontinuing core production functionality.
Intellectual property
Short version. Arcalotl owns the software and brand. You own your community content and member relationship.
Arcalotl and its licensors own the Service, software, design, documentation, brand, trademarks, and related technology. Subject to these Terms, Arcalotl grants you a limited, revocable, non-exclusive, non-transferable license to use the Service for your community operations.
You may not copy, modify, reverse engineer, sell, sublicense, or create derivative works from the Service except where applicable law prevents that restriction.
Disclaimers
Short version. Arcalotl provides software. We do not guarantee revenue, retention, payment success, uninterrupted access, or legal compliance for your community.
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. Arcalotl disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and error-free operation.
Arcalotl is not responsible for delays or failures caused by events outside our reasonable control, including outages, labor disputes, attacks, disasters, pandemics, government actions, payment network issues, or third-party platform failures.
Limitation of liability
Short version. Our liability is limited to the fees you paid Arcalotl, and we are not liable for indirect business losses.
To the maximum extent permitted by law, Arcalotl's total liability for all claims related to the Service is limited to the Arcalotl fees you paid in the 12 months before the event giving rise to the claim.
Arcalotl will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost revenue, lost profits, lost subscribers, lost data, business interruption, or replacement service costs.
Indemnity
Short version. If your community, offers, content, or misuse of Arcalotl creates a legal claim, you are responsible for it.
You agree to defend, indemnify, and hold harmless Arcalotl from claims, damages, liabilities, losses, and expenses arising from your community, member offers, content, taxes, refunds, disputes, violation of these Terms, violation of law, violation of third-party rights, or misuse of the Service.
Termination and offboarding
Short version. You can stop using Arcalotl. Your Stripe account remains yours, but you must handle active member relationships after offboarding.
You may stop using the Service by removing the bot or integration, disabling member-facing checkout, and disconnecting Stripe where the Service supports disconnection. We may suspend or terminate access if you violate these Terms, create risk for Arcalotl or others, fail to pay applicable fees, or use the Service unlawfully.
After termination, your right to use the Service ends. Your Stripe account, Stripe customers, subscriptions, payment methods, payouts, and connected-account records remain governed by Stripe and your Stripe account. You remain responsible for member support, refunds, tax records, and any active subscriptions or access promises.
Changes to these Terms
Short version. We may update these Terms. Material updates will be posted here and, where practical, announced through the Service.
We may update these Terms from time to time. Material changes take effect 30 days after notice unless a shorter period is required for legal, security, or operational reasons. Continued use of the Service after changes take effect means you accept the updated Terms.
General provisions
Short version. These are standard contract mechanics.
These Terms, together with referenced policies, are the entire agreement between you and Arcalotl for the Service. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. These Terms do not create a partnership, joint venture, agency, employment, or franchise relationship.
